This Week's IPO Filings Are Mostly Small Shells

Eight S-1-family filings hit the SEC between August 13 and 17, and none are venture-scale tech debuts -- a reminder that most weeks in an active IPO year still produce shell registrations and small financials, not headline listings.

THE RUNDOWN

1

Filers this week include Alliance Laundry Holdings, BayFirst Financial Corp, Andersen Group, VS Trust, Gravity Acquisition Corp, Alopexx, BIOVIE and ARC Group Securities Acquisition II -- small caps, SPACs, a trust vehicle and a biotech, not a marquee tech name

2

This is the same week Reddit joins the S&P 500 and Anthropic disclosed a $65B run rate ahead of its own filing, showing how uneven the actual IPO calendar is even during a hot listing year

3

OpenAI and Anthropic remain the filings that will define whether 2026's IPO window closes the year strong -- both are still working through confidential SEC review rather than public S-1s

4

U.S. IPO proceeds were up 163.9% year over year through May 31, but that aggregate is still driven by a small number of large deals rather than broad-based issuance

The gap between the filing pipeline and the IPO narrative is the number I'd hand to any founder asking if now is the right time to file -- the headline environment looks wide open, but the actual weekly issuance volume says underwriters are still being selective below the megacap tier. Small caps and SPACs are getting through; venture-scale tech names outside of OpenAI and Anthropic are still waiting for those two to price first and set the comp.

Analysis

Eight companies filed S-1-family registrations with the SEC between August 13 and 17: Alliance Laundry Holdings, BayFirst Financial Corp, Andersen Group, VS Trust, Gravity Acquisition Corp, Alopexx, BIOVIE and ARC Group Securities Acquisition II. None are venture-scale technology debuts -- the list is a mix of small-cap financials, a SPAC, a trust vehicle and a clinical-stage biotech, the kind of filing volume that moves through the SEC's docket in any ordinary week regardless of how hot the broader IPO narrative runs.

The contrast with this week's other headlines is the useful data point. The same five days produced Reddit's S&P 500 inclusion and Anthropic disclosing a $65 billion annualized revenue run rate ahead of its own IPO -- both genuinely large stories about public and soon-to-be-public tech companies -- while the actual new-filing pipeline stayed quiet. U.S. IPO proceeds were up 163.9% year over year through May 31, but that aggregate has been carried by a small number of outsized deals, not a broad base of new issuers filing every week.

“The contrast with this week's other headlines is the useful data point.”

The filings that will define whether 2026 closes as a genuinely open IPO year are still sitting in confidential SEC review rather than public S-1s: OpenAI filed confidentially in June, and Anthropic did the same, with both expected to convert to public filings and roadshows in the September-October window. Until one of those becomes public, the visible weekly filing pipeline will keep looking like this -- a scatter of small caps and SPACs, disconnected from the headline-grabbing IPO narrative running in parallel.
