City Therapeutics IPO: From Terms to Pricing
City Therapeutics set terms for its Nasdaq IPO on October 9, 2026: 9.7 million shares at $17.00 to $19.00 apiece, estimated to raise roughly $175 million at the midpoint. On October 15 it priced an upsized deal of 11,111,111 shares at $18.00, about $200 million, and the underwriters later bought their full 1,666,666-share option, taking gross proceeds to about $230 million at the October 19 close. Goldman Sachs, Jefferies, Stifel, and Oppenheimer & Co. were the joint book-runners on the deal, which Value Add VC's Pulse coverage flagged as one of only two names on that week's US IPO calendar.
The other name is Iambic Therapeutics, which set its own amended terms a day earlier and priced at $16.00, the top half of its range, on October 14 — a same-week pairing that gave investors a direct read on biotech IPO demand from two different bank syndicates. City's deal was a traditional underwritten S-1 offering, not a reverse merger, and bookbuilding landed it at the midpoint while adding shares.
City Therapeutics' Private Funding by Round
Two disclosed rounds brought in roughly $234.5M before the IPO, with the Series B nearly matching the Series A

Who's Behind City Therapeutics
City Therapeutics launched publicly in October 2024 with a $135 million Series A led by ARCH Venture Partners, with participation from Fidelity, Invus, Slate Path Capital, Rock Springs Capital, Regeneron Ventures, and AN Ventures, according to Pulse 2.0's coverage of the launch. The company is led by John Maraganore, founding CEO of RNAi pioneer Alnylam Pharmaceuticals, who serves as City's executive chair; ARCH's Robert Nelsen and Ari Nowacek are both co-founders and board members.
In June 2026, the company closed a $99.5 million Series B, bringing in new investors Viking Global Investors and Sofinnova Investments alongside Casdin Capital and NYBC Ventures, with all of its Series A backers returning, per Pulse 2.0's reporting on the round. City Therapeutics is headquartered in Cambridge, Massachusetts and was founded in 2023, according to StockAnalysis.com's company profile.
What's in the Pipeline
City Therapeutics engineers small interfering RNAs (siRNAs) — synthetic molecules that silence disease-causing genes — aiming to widen RNAi medicine beyond the liver-focused delivery of earlier approved drugs in the category. Its lead program, CITY-FXI, targets the Factor XI protein to prevent thromboembolic disease and entered Phase 1 trials in 2026. A second program, CITY-RBP4, is a preclinical candidate the company describes as a potential first approved treatment for Stargardt disease type 1 (according to City Therapeutics' own description), a rare inherited retinal condition; City expects to move it into the clinic by the end of 2026 alongside one additional program.
The company has also struck strategic collaborations with Bausch + Lomb and Biogen since its Series A, extending its RNAi engineering platform into partnered programs rather than relying solely on its own pipeline.
| Company | Modality | Deal size | Expected pricing | Underwriters | Status |
|---|---|---|---|---|---|
| ADARx Pharmaceuticals | siRNA (RNAi) | $446.3M | Sept 24, 2026 | Multiple | Priced IPO (ADRX) |
| TRexBio | Treg biology (immunology) | $116.7M | Oct 8, 2026 | J.P. Morgan, Evercore ISI, Cantor, Stifel | Priced IPO (TRXB) |
| Iambic Therapeutics | AI small-molecule discovery | ~$150M | Oct 14, 2026 | J.P. Morgan, Jefferies, BofA, Citi | Priced IPO (IAM) at $16 |
| City Therapeutics | siRNA (RNAi) | ~$230M | Oct 15, 2026 | Goldman Sachs, Jefferies, Stifel, Oppenheimer | Priced IPO (CTY) at $18, upsized |

What the headline misses
The deal is done, but the headline number needs a footnote. About $230 million is gross proceeds including the underwriters' option; the base deal was about $200 million, and net proceeds are lower after underwriting discounts. The roughly $1 billion market cap is our arithmetic on prospectus share counts, and the stock's 13.5% gain through October 21 covers only four trading days, with shares drifting down from the $22.40 first-day close.
The business itself is still purely pipeline-stage. CITY-FXI only entered Phase 1 trials in 2026, and CITY-RBP4 remains preclinical — public investors in this IPO are pricing a research platform and two early-stage programs, not an approved therapy or disclosed revenue. City Therapeutics has not disclosed any product revenue in the sources reviewed for this piece.
The same-week pairing with Iambic is a useful comparison, but it isn't a controlled experiment: the two companies have different bank syndicates, different modalities (RNAi versus AI-driven small-molecule discovery), and different disclosed loss profiles. Both priced inside or near their ranges; by the October 21 close, City traded 13.5% above its IPO price while Iambic had slipped just below its $16, per Yahoo Finance.
Why This IPO Matters Beyond City Therapeutics
Two RNAi-adjacent biotechs setting IPO terms in the same week — after ADARx priced its own siRNA-platform IPO at a $1.81 billion valuation less than three weeks earlier — suggests underwriters see real public-market appetite for RNA-interference medicine specifically, even as larger, capital-intensive tech and infrastructure listings have stalled or been pulled this quarter. Both deals got done: City upsized at the midpoint and Iambic priced at $16; whether that appetite holds depends on how they trade after the first week. The pipeline behind them kept growing the same month: Lycia Therapeutics, a different protein-degradation platform co-founded by a Nobel laureate, set its own IPO terms days later, valuing it at up to $937.7 million. The same week closed out with two more biotech debuts pricing within a day of each other: Bambusa Therapeutics' $168.9 million IPO and Aspen Neuroscience's listing, both on October 29-30.
The bottom line:
City Therapeutics raised about $230M in an upsized IPO at $18 and trades as CTY — but its pipeline is still Phase 1 and preclinical, not revenue-generating.
