Twelve registration statements hit the SEC's filing system across September 3 and 4 -- five fresh S-1s and seven amendments -- and the mix says more about the current market than any single deal.
The new filings:
- ADARx Pharmaceuticals (CIK 0001802369): clinical-stage siRNA biotech, filed September 4 for Nasdaq under ADRX.
- New Iceland Arctic Acquisition Corp. (CIK 0002148245): blank-check vehicle, filed September 4.
- Legion Capital Acquisition Corp. (CIK 0002151558): blank-check vehicle, filed September 3.
- T3 Defense Inc. (CIK 0001787518): filed September 3, into the most heavily bid private sector of 2026.
- Laser Photonics Corp. (CIK 0001807887): Orlando-based industrial laser systems maker, already Nasdaq-listed, filed September 4.

The amendments came from SB Energy (0002133037), SoftBank's data center and power arm Pulse has previously covered, along with Albatross Acquisition Corp (0002135163), Game Your Game (0002111846), ClearOne (0000840715), AIxCrypto Holdings (0001460702), PBT Land & Minerals (0002142855) and ECOMINAS (0001115864).
Three of twelve filings are acquisition corporations. That ratio matters because blank-check issuance is the most sentiment-sensitive part of the IPO calendar: sponsors file when they believe a listing window will be open in six to nine months, and they stop entirely when they do not. SPAC issuance collapsed from roughly 600 deals in 2021 to a handful of quarters in the low double digits through 2023 and 2024, so a steady trickle of new vehicles is a real, if small, signal about how the fourth quarter is being handicapped.
The second pattern is amendments outnumbering new filings. Seven of twelve are companies already in registration moving through SEC comment cycles -- the mechanical work that precedes pricing. That is a pipeline filling rather than a market clearing, and it means October and November are where the 2026 class actually gets tested.
A caution on reading too much into any single name: an S-1 from a company already trading, such as ClearOne or Laser Photonics, is typically a resale or shelf registration rather than a new offering, and blank-check filings tell you nothing about what eventually merges into them.
