AIxCrypto Holdings and Laser Photonics Corp both filed amended S-1 registration statements with the SEC on September 9, according to the agency's EDGAR system. Pulse first covered both companies' original S-1 filings alongside a third filer, Orion180, in an early-September roundup of same-day IPO registrations.
What's changed: an S-1/A amendment generally means the SEC's Division of Corporation Finance sent one or more comment letters on the initial filing, requesting additional risk-factor disclosure, revised financial statements, clearer use-of-proceeds language, or corrected legal-boilerplate issues, and the company is required to respond before the registration can go effective. Neither company has disclosed the specific content of the SEC's comments, which isn't unusual; comment letters aren't automatically made public until well after a deal closes or is withdrawn, if at all.
Laser Photonics, which makes industrial laser cleaning and rust-removal systems as an alternative to abrasive blasting and chemical treatments, and AIxCrypto Holdings, a smaller crypto-adjacent AI company, represent two of the more speculative names among the dozen-plus S-1 filers active this month. Amendments at this stage are routine rather than alarming -- most S-1s go through at least one round of SEC comments before pricing -- but the fact that two of the three companies Pulse's original roundup covered needed revisions, while the SEC apparently had fewer questions for Orion180, is a small but real signal about which filings are further along in the review queue.
Neither company has set a pricing date or share range as of this amendment, and both remain earlier in the IPO process than the headline-grabbing names that dominate coverage of this year's IPO wave.
