GrubMarket filed confidentially for an IPO on July 28, 2026 off a $4.5 billion private valuation, and five weeks later the secondary market priced its shares about a third lower.
GrubMarket, the South San Francisco-based company that sells food distribution software and runs a national wholesale food business, announced on July 28, 2026 that it had confidentially submitted a draft registration statement on Form S-1 to the SEC. The number of shares and the price range had not been determined. We covered the filing the same day in our Pulse story on GrubMarket's confidential IPO; this page tracks the IPO as it moves.

GrubMarket IPO: Where the Filing Stands
GrubMarket's IPO is at the confidential-review stage as of October 15, 2026. The company submitted a draft S-1 on July 28, 2026; it has not filed a public S-1, set a price range, named an exchange or picked a ticker. Under SEC staff procedures, the registration statement has to be filed publicly at least 15 days before any roadshow, so a public S-1 is the next thing to watch for.
Its press release said the offering depends on the SEC finishing its review and on market conditions. The phrase is boilerplate, but conditions have moved against the deal since July, as the secondary-market data below shows.
What Is GrubMarket Worth? Valuation by Round
GrubMarket raised a $120 million Series E at a $1.2 billion valuation in 2021 and a $120 million Series F at a $2 billion valuation a year later, TechCrunch reported, citing PitchBook for the Series F. GrubMarket raised a $50 million Series G at a post-money valuation of over $3.5 billion in March 2025, per the same TechCrunch report. GrubMarket then raised a $50 million Series H in February 2026 at a $4.5 billion pre-money valuation from Future Food Fund, Portfolia Funds, Liberty Street Funds, RD Heritage Group, Flume Ventures and MY Securities, Tech Times reported.
The Series H was small for the price. CEO Mike Xu said at the time that the round "was not a necessity" and that the company saw it as a chance "to align our company's valuation with the new level of scale and strength that we have achieved." One read: the round set a reference price ahead of the IPO more than it funded the business.
Why Did GrubMarket's Secondary Price Fall?
Forge Global priced GrubMarket at about $3.04 billion in early September 2026, based on an indicative price of $18 a share, roughly 33% below the $4.55 billion post-money valuation of the Series H, which sold stock at $26.92 a share, Benzinga reported on September 3, 2026. The same report put food-tech venture funding at $3.6 billion across 359 deals in the first half of 2026, citing PitchBook, and paired GrubMarket with Liquid Death, which Forge showed 48% below its own last round.
Secondary prices are thin and indicative, and they often move before a company's own marks do. Still, an IPO priced near the Series H would now ask public investors to pay roughly 50% more than the latest secondary quote (Value Add VC's arithmetic: $26.92 against $18). That gap is the main pricing question for the deal.
How Does GrubMarket Make Money?
Most of GrubMarket's revenue comes from food distribution: it buys and sells produce and other food wholesale, much of it through companies it has acquired. It has completed more than 60 acquisitions in 12 years across 18 sectors, mostly food distributors, online grocers and processors in the US, plus deals in Canada and South Africa, according to Tech Times. GrubMarket employs about 12,000 people and has raised more than $600 million from investors including Tiger Global, GGV Capital and Battery Ventures.
The software side is the IPO pitch. GrubMarket sells AI tools and enterprise software to food distributors, and in November 2025 it bought Procurant, a Los Gatos, California-based procurement platform that connects more than 850 customers across 14 countries and handles about $5.5 billion of gross merchandise volume a year, per Tech Times. Its latest deal, SPUD, a Vancouver-based online grocer, closed on July 21, 2026, a week before the S-1 submission.

What Did the SEC Find About GrubMarket's Revenue?
GrubMarket agreed in January 2025 to pay an $8 million civil penalty after the SEC found it had given Series D investors financial information that overstated its historical revenue by about $550 million over a five-year period, Accounting Today reported. GrubMarket raised $80 million in that Series D between November 2019 and February 2021. The company did not admit or deny the findings and accepted a cease-and-desist order.
That history will be in the public S-1. It is also why the revenue figures above carry a caveat: they are what the company has said, and the S-1's audited statements will be the public check on them.
What the headline misses
The confidential filing is a real step, but it commits GrubMarket to nothing. Companies withdraw draft filings without anyone seeing them, and a 33% secondary discount gives the board a reason to wait. GrubMarket can also keep funding itself: Xu has said the business is EBITDA-positive, so the IPO is not a cash emergency.
The other side of the trade is that GrubMarket is a low-margin distributor with a software layer, not a software company. Public investors will likely value most of its $2 billion-plus revenue as distribution revenue, and only the software and Procurant piece at software multiples. How the S-1 splits those two businesses will matter more to the price than the headline revenue number.
The Bottom Line
GrubMarket's IPO is filed but not scheduled: a confidential draft S-1 since July 28, 2026, a $4.5 billion pre-money Series H behind it, and a Forge price that implied about $3.04 billion by September. The public S-1 will answer the open questions, from audited revenue and margins to how much of the business is software, and it has to appear at least 15 days before a roadshow.
