Mega-Round

An unusually large single financing round, commonly defined as $100M or more.

A mega-round is any single financing round at or above roughly $100M, a threshold that has become far more common since 2023 as AI infrastructure and foundation model companies raised historically large rounds to fund compute costs. Mega-rounds are typically led by growth-stage funds, sovereign wealth funds, or crossover investors rather than traditional early-stage VCs.

The proliferation of mega-rounds concentrates industry capital in a small number of category leaders, and it has meaningfully raised the bar for what counts as a competitive Series B or C, since a well-capitalized competitor with a nine-figure war chest changes the competitive dynamics of an entire category.

In practice

If a competitor closes a mega-round, don't try to match their burn rate dollar for dollar — compete on speed, focus, and capital efficiency instead, since matching an overcapitalized competitor's spend usually just burns your own runway faster with no durable advantage.
